Terms and Conditions

These Terms and Conditions (the "Terms"), together with our Acceptable Use Policy and Privacy Policy, govern your use of the Process.SL website and services (the "Service"). The Service is owned and operated by Weird Wisdom Ltd ("Weird Wisdom", "us", "we", or "our"), a company registered in England and Wales. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. The Agreement

1.1. This Agreement governs your relationship with us and your use of the Service and supersedes any prior agreements.

1.2. By signing up for an account on the Process.SL website (the "Website"), you acknowledge your acceptance of and agreement to be bound by these Terms.

1.3. You must provide truthful and complete information when signing up for an account. It is your responsibility to keep this information up to date.

1.4. We may amend these Terms from time to time. We will notify you of any changes by email or by posting the new version on our Website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. The Service

2.1. The Service shall be provided to you in accordance with this Agreement.

2.2. Provision of the Service is conditional upon your adherence to all terms of this Agreement.

3. Accounts

3.1. We may offer different types of accounts, such as free and paid subscription plans. The features and limitations of each plan will be detailed on our Website.

3.2. You are not permitted to sell or transfer your account to a third party without our prior written consent.

4. Payments

4.1. Paid accounts can be subscribed to on a monthly or annual basis and will auto-renew unless cancelled.

4.2. Prices for paid accounts are subject to change. We will notify you of any price changes, which will take effect at the next renewal date.

4.3. If you do not agree to a price change, you must cancel your subscription before the next renewal date.

5. Cancellation

5.1. You may cancel your paid account at any time through your account settings. The cancellation will take effect at the end of the current billing period. No pro-rata refunds will be provided.

5.2. It is your responsibility to ensure any subscription is properly cancelled.

6. Authorised Use of the Service

6.1. You are granted a non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms.

6.2. Your use of the Service is strictly governed by our Acceptable Use Policy, which is incorporated herein by reference. You must read and comply with the Acceptable Use Policy at all times.

6.3. As part of the Service may involve the provision of dedicated server hardware, you are solely responsible for all actions, content, and data processed on or through your allocated server environment.

6.4. You shall not:

  1. Permit any third party to access or use the Service on your behalf, unless as part of a legitimate agency-client relationship as contemplated by the Service.
  2. Copy, modify, or reverse engineer the Service or its underlying software.
  3. Interfere with the proper working of the Service.
  4. Use the Service for any purpose or in any manner that violates our Acceptable Use Policy or any applicable law.

6.5. We reserve the right to suspend or terminate any account that breaches this clause or the Acceptable Use Policy, without notice and without a refund.

7. Intellectual Property

7.1. "Process.SL" and "Weird Wisdom" and associated logos are trademarks of Weird Wisdom Ltd. You may not use our trademarks without our prior written consent.

7.2. All intellectual property rights in the Service, the Website, and its content are owned by or licensed to Weird Wisdom Ltd.

7.3. We shall have a royalty-free, worldwide, irrevocable, perpetual license to use or incorporate into the Service any suggestions, enhancement requests, or other feedback provided by you.

8. Data

8.1. Any data you provide to the Service remains your property.

8.2. We may use anonymised and aggregated data for our own business purposes, provided it is not possible to identify you or your organisation.

9. Limitation of Liability

9.1. Nothing in this Agreement limits or excludes our liability for death or personal injury caused by our negligence, for fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded.

9.2. Subject to clause 9.1, we will not be liable for any indirect, consequential, or special loss, including but not limited to loss of profit, sales, business, or reputation.

9.3. Subject to clauses 9.1 and 9.2, our total aggregate liability arising out of or relating to this Agreement shall be limited to the amount paid by you for the Service in the preceding twelve (12) months.

9.4. We do not guarantee the continuous availability or accuracy of the Service. The Service is provided "as is" without any warranties, express or implied.

10. Indemnities

10.1. You will indemnify, defend, and hold harmless Weird Wisdom Ltd, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  1. Your access to or use of the Service.
  2. Your violation of this Agreement or the Acceptable Use Policy.
  3. Your infringement of any third-party right, including any intellectual property right, publicity, confidentiality, property, or privacy right.
  4. Your violation of any applicable laws, rules, or regulations, including but not limited to data protection laws such as GDPR and PECR, in connection with your use of digital persona deployment or audience targeting campaigns.
  5. Any claim that your use of the Service, including the creation of AI personas or digital doubles, caused damage to a third party.

11. Beta Services

11.1. From time to time, we may offer new features or tools as "beta" services. Beta services are provided for evaluation purposes and are not intended for production use.

11.2. You acknowledge that beta services may contain bugs, errors, and other problems. They are provided "as-is" without any warranty of any kind, and we shall have no liability whatsoever arising from your use of such beta services.

11.3. We may discontinue beta services at any time in our sole discretion and may never make them generally available.

12. Termination

12.1. Either party may terminate this Agreement if the other party materially breaches its terms and fails to remedy the breach within 30 days of a written request.

12.2. We may terminate this Agreement without cause by providing you with 24 hours' notice. In such cases, a pro-rata refund for any pre-paid period will be issued.

12.3. We may suspend or terminate your account immediately if you are in persistent or repeated breach of this Agreement.

13. General Provisions

13.1. You may not assign or sub-contract your rights or obligations under this Agreement without our prior written consent.

13.2. This Agreement constitutes the entire agreement between the parties.

13.3. This Agreement is governed by the laws of England and Wales.

14. Dispute Resolution

14.1. In the event of a dispute arising out of or in connection with this Agreement, the parties agree to first enter into good faith negotiations to resolve the matter informally.

14.2. If the dispute is not resolved within thirty (30) days of the initial negotiation, the parties agree to submit to the exclusive jurisdiction of the courts of England and Wales, located in London, to resolve any legal matter arising from the Agreement.

15. Force Majeure

15.1. Neither party will be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from any cause that is beyond the reasonable control of that party. Such causes include, but are not limited to: power failure, internet service provider failure, industrial action, civil unrest, fire, flood, storms, earthquakes, acts of terrorism, acts of war, governmental action or any other event that is beyond the control of the party in question.
